We have advised Lantmännen ek för, the leading agricultural cooperative in Northen Europe, in connection with the merger of Lantmännen Agroetanol AB, Lantmännen Oats AB and Lantmännen Reppe AB into one single company – Lantmännen Biorefineries AB.

Following the merger, which took place in several stages, the abovementioned operations will be carried out under the joint company name Lantmännen Biorefineries, with presence in Lidköping, Norrköping and Kimstad.

PHM operates in about 70 locations in Sweden from north to south, via its 26 local and independent subsidiaries and circa 1,300 employees. With the acquisition of Bredablick, the number of PHM employees in Sweden will be close to 2 000.

TM & Partners has advised in connection with the incorporation of Skogsägarna Norra Skog ekonomisk förening by merger between the Norra Skogsägarna and Skogsägarna Norrskog. Through the merger, Sweden’s largest forest-owner association by land area has been established, covering more than half of the area of Sweden. The association, with an estimated annual turnover of approximately SEK 4 billion, has around 28,000 members and more than 500 employees.

Törngren Magnell has advised the founders of Colive AB in connection with a private placement to Wallenstam and Konsumentföreningen Stockholm med omnejd ekonomisk förening (KfS). Due to the investment, Wallenstam becomes one of the company’s largest owner and holds 25 percent of the shares.

Colive AB operates business within house sharing and offers so called “Co-living” with related services. The company was founded in 2018 and has launched two co-living hubs in Stockholm with about ten ongoing projects across the country. Törngren Magnell has advised in connection with the incorporation of Biometria ek., by merger of the Swedish timber scaling associations.

VMF Qbera ek. för., VMF Nord ek. för., VMF Syd ek. för. and SDC ek. för. With the merger, a nationwide organisation for scaling and reporting of timber has been established with about 800 employees and an anticipated annual turnover of approximately SEK 600 million.

Törngren Magnell has advised on LRF’s investment in Tillväxtbolaget, a company which provides capital and knowledge, helps to establish modern production facilities for meat, milk and egg production as well as plant cultivation.

Tillväxtbolaget was earlier owned by Lantmännen and HKScan with 50 % each. Because of LRF’s investment in Tillväxtbolaget, the company is now owned by Lantmännen, HKScan and LRF with 33,3 % each.

Following a strategy overview and a decision earlier this spring to divest a number of LRF Media’s magazine titles, two parallel transactions have today been agreed with Bonnier Publications A/S and Bonnier Tidskrifter AB, respectively. Under a share transfer, Bonnier Publications A/S will acquire all shares in LRF Media Historiska AB, which publishes the titles Allt om Historia, Populär Historia, Militär Historia och Släkthistoria, whereas pursuant to an asset transfer Bonnier Tidskrifter AB will also acquire the business comprising the publication of the magazine titles Lantliv, Lantliv Mat & Vin, Gods & Gårdar, Allt om Vin samt Hembakat. Both transactions will be closed simultanesouly on June 1, 2016.
