TM & Partners has assisted OBOS in connection with a joint venture with Resona with the aim of jointly construct approximately 190 apartments in Aspudden in Stockholm.

Resona and The Other Group (TOG) have together carried out the preparations of the zoning plan for the area. OBOS and TOG have thereafter entered into an agreement regarding OBOS acquisition of TOG’s part of the project. The zoning plan has been adopted but has not yet gained legal force. Sale of the apartments is due to commence in the beginning of 2025 and production will start in 2026.

We have assisted Europa Capital and NCAP in the sale of a newly refurbished office building in central Stockholm

We have advised Europa Capital, which since its formation in 1999 has completed over 150 transactions corresponding to more than €12.5 billion across 21 European countries, and NCAP, a specialist Nordic Real Estate Investment and Asset Management Company, in their sale of the newly refurbished office property Stockholm Brädstapeln 13, to KPA Pension (part of the Folksam group).

The sale follows the signing of the most recent office letting at the building in December 2023 with Ekonomistyrningsverket (ESV), the Swedish National Financial Management Authority, taking the overall occupancy rate to 95%. In addition to ESV, lettings to the following tenants have been carried out during recent years: Foodora, Bröd & Salt, SATS, Svevia, Svensk Exportkredit, F&H Group of Scandinavia and Groth & Co.

Europa Capital acquired the property in July 2019, the property was vacated in 2020 and Europa Capital’s refurbishment program was completed the following year after which letting to tenants began. This includes the creation of an additional 1,409 sqm of lettable space.

We have assisted Hines European Property Partners in connection with the indirect acquisition from the kitchen manufacturer Nobia of an industrial property currently being constructed in Jönköping.

The deal is structured as a sale and leaseback-transaction, where Nobia, in connection with the divestment, enters into a lease agreement with an initial term of 20 years. The new factory, which will be used in Nobia’s production of kitchens, covers approximately 129,500 square meters and is expected to be completed in autumn 2024. The agreed property value amounts to SEK 1.35 billion.

Hines is an American real estate company founded in 1957, which is currently holding properties in approximately 30 different countries. The acquisition in Jönköping is Hines’ first acquisition in Sweden.

Nobia is a kitchen producer, primarily known for the brands Marbodal, HTH and Norema, and has previously carried out its operations in Tidaholm.

Ioffice is a company that offers office and conference facilities and thus intends to sublease the office space to various actors. The lease agreement between the parties has been entered into for an initial period of ten years with planned commencement during the summer 2024.

In connection with the project, TM & Partners has assisted the property owner in the drafting and negotiations regarding the agreements for the implementation and the letting to Ioffice.

TM & Partners has assisted Slussgården in connection with the project and lease of a restaurant with a roof terrace to Stureplansgruppen

At Hornsgatan 20 in Stockholm, Slussgården has built another floor on the Överkikaren’s current 12-storey block. The extension will provide space for a restaurant on the roof with a large associated terrace. The tenant of the restaurant and the roof terrace is Stureplansgruppen, which thus is opening its first restaurant on Södermalm in Stockholm. The restaurant will be named Freyja and will open on March 13, 2023.

In connection with the project, TM & Partners has assisted Slussgården in drafting and negotiating agreements for the implementation and leasing with Stureplansgruppen.

TM & Partners has assisted a joint venture company owned by Obos and JM in one of the largest development right transactions in Sweden this year

JM AB and OBOS Kärnhem Bostadsproduktion AB have, through a 50/50 joint venture company, acquired a large property in Lund (Lyckebacken 5), which in a future detailed development plan will enable the development of a total of approximately 2,500 residential units including commercial premises. The purchase price amounts to a total of approximately SEK 725 million. The purchase is one of the largest development right transactions in Sweden this year.

TM & Partners has advised RNB Retail and Brands AB (“RNB”) in connection with the sale of Brothers & Sisters. They holds all shares in Brothers AB, to the Norwegian investment company Jotunfjell Partners AS. The acquisition of Coala-Life AB (“Coala-Life”) through an issue in kind, and the conversion of RNB’s notes to unconditional capital contributions and shares in the company.

Jotunfjell Partners AS has a primary focus on Nordic retail, and owns, inter alia, the Swedish retail chain Pagelle.

Coala Life is a Swedish medtech company that focuses on heart diagnostics and digital health. The company has developed a portfolio of solutions based on the Coala, a patented and commercial service for remote monitoring and self-screening of heart sounds and ECG.

As a result of the transactions, RNB changed its business name to Coala-Life Group AB (publ) and its business activities to development, marketing and sale of medtech. In addition, a change of listing of RNB’s shares from Nasdaq Stockholm to Nasdaq First North Growth Market was carried out in connection with the closing of the transactions.

TM & Partners has assisted Cleantech startup Cinis Fertilizer

TM & Partners has assisted Cinis Fertilizer. In connection with the negotiation of long term agreements with Northvolt and the international fertilizer producer Van Iperen International, as well as with a pre-IPO fundraising.

Cinis Fertilizer is a Swedish Cleantech startup that has developed a patented technology for the production of the world’s most environmentally friendly mineral fertilizer. By recycling industrial waste products from the pulp and paper industry as well as the battery manufacturing industry. Requiring 50 percent less energy input through its production, Cinis Fertilizer will create a CO2 footprint 75 percent smaller than that of traditional fertilizers.

Circular product

For production and sale of its circular product, Cinis Fertilizer has recently entered into long term strategic agreements with battery cell supplier Northvolt for purchase of sodium sulphate salt to be recovered from the battery manufacturing processes, and with international fertilizer producer Van Iperen International which in an off-take agreement has committed to purchase Cinis Fertilizer’s entire yearly production of appr. 300,000 tonnes fertilizer during a ten year period.

For the financing of the commercialization of its products, the company has in October 2021 raised SEK 40 million in a pre-IPO financing round and intends to initiate preparations for an IPO on Nasdaq First North in 2022. In connection with the fundraising a new board of directors has been appointed where TM & Partners M&A partner Sten Hedbäck has been appointed board member, together with Anna Kinberg Batra (previous MP and leader of the Swedish conservative party Moderaterna), Viktoria Bergman (board member Vattenfall), Åsa Källenius (CFO Mekonomen) and Morgan Sadarangani (CEO Molindo Energy). Roger Johansson, EVP for the Roxtec business unit Marine & Offshore, continues as Chairman. The company’s founder and innovator Jakob Liedberg is CEO.

Törngren Magnell has assisted Intea Fastigheter AB (publ) in the lease regarding a new police station to the Swedish Police Authority in Kristianstad. The lease agreement includes a lettable area corresponding to a total of 18,600 sqm, with a lease value of SEK 43,700,000. The work on a zoning plan is currently in process and construction regarding the police station is expected to take place in conjunction with a legally binding zoning plan.

Törngren Magnell has asssisted Norvestor VI L.P. in connection with the sale of Nomor Holding AB to ServiceMaster Global Holdings, Inc. for a purchase price of appr. USD 200 million.

Nomor is the second largest pest control company in Sweden and Norway operating nationwide within three service areas; Pest control, Food safety and Home & House. Customers include among other insurance companies, property owners, municipalities and the HoReCa industry.

Törngren Magnell advised Norvestor in connection with its acquisition of Nomor in May 2014 and supported Nomor in connection with its nine strategic acquisitions in Norway and Sweden. During Norvestor’s ownership sales have increased from appr. SEK 104 million to appr. SEK 500 million.
