TM & Partners has advised Intea Fastigheter AB (publ) in connection with the listing of the company’s Class B and Class D shares on Nasdaq Stockholm. The trading in the company’s shares commenced on 12 December 2024.

In connection with the listing, an offering of existing and newly issued shares in the company at a value of approximately SEK 2.4 billion was carried out. The price in the offering corresponds to a market value of the company of approximately SEK 9.5 billion. The offering provides Intea with approximately SEK 2 billion.

Intea invests in and manages social infrastructure for its own long-term management. As of 30 September 2024, the property portfolio’s value amounted to SEK 22.6 billion, with a lettable area of 534,000 sqm. The property portfolio consists of properties and projects with public tenants, such as the judiciary, higher education, and healthcare.

TM & Partners has assisted Venandi Fastigheter in the development and divestment of a property portfolio consisting of 37 properties with an underlying property value of MSEK 2,000. The portfolio has a main orientation towards grocery retail, to some extent complemented with low-cost retail and housing. TM & Partners has been Venandi Fastigheter’s legal advisor in connection to more than 20 acquisitions, concerning both single properties and larger portfolios, and has further assisted Venandi Fastigheter in connection to the divestment of the portfolio to Vendus, a company established by Carnegie, Venandi Fastigheter and MEL & ME Fastighet. TM & Partners has assisted Magnolia Bostad in the process of entering into agreements with Heimstaden Bostad regarding a joint development of residential buildings in the area close to Hede Station in Kungsbacka. The project comprises approximately 1,600 apartments with a combined area of approximately 100,000 square meters. Derome is the seller. In connection with the aforementioned transaction, Magnolia Bostad AB, Heimstaden AB and Derome have entered into a joint venture to develop and construct around 1,500 single-family homes on land with existing and new building rights. The value of the projects upon completion is estimated to SEK several billion.

TM & Partners has assisted Magnolia Bostad in an indirect acquisition of parts of the property Kungsängen-Tibble 1:478, located in Upplands-Bro, from Kilenkrysset. Magnolia Bostad intends to develop approximately 400 housing units comprising a total of 43,000 sq.m. BTA, and thereby achieving a mixed area with housing units, small houses, and a preschool.
