We have assisted Vendus Sweden AB (publ) in three separate acquisitions of grocery retail properties, with an aggregate property value of MSEK 170. The acquisitions concern properties located in Degerfors, Stora Höga (Stenungsund) and Ullared (Falkenberg). The main tenants on the properties are ICA and Axfood.

Through these acquisitions, Vendus is halfway towards reaching their goal of a property portfolio with an aggregate property value MSEK 6,000.

We have assisted Hines in their first acquisition in Sweden

We have assisted Hines European Property Partners in connection with the indirect acquisition from the kitchen manufacturer Nobia of an industrial property currently being constructed in Jönköping.

The deal is structured as a sale and leaseback-transaction, where Nobia, in connection with the divestment, enters into a lease agreement with an initial term of 20 years. The new factory, which will be used in Nobia’s production of kitchens, covers approximately 129,500 square meters and is expected to be completed in autumn 2024. The agreed property value amounts to SEK 1.35 billion.

Hines is an American real estate company founded in 1957, which is currently holding properties in approximately 30 different countries. The acquisition in Jönköping is Hines’ first acquisition in Sweden.

Nobia is a kitchen producer, primarily known for the brands Marbodal, HTH and Norema, and has previously carried out its operations in Tidaholm.

TM & Partners has assisted Arwidsro Fastighets AB in connection with a swap deal with Westerlinds in Härnösand. The swap deal includes that Westerlinds acquires the property Köpmannen 10 in the center of Härnösand from Arwidsro. Arwidsro in turn acquires the property Fyrvaktaren 19 in Härnösand from Westerlinds, on which Westerlinds recently signed a new lease with the tenant Kustbevakningen with an initial lease term of 15 years and with a total area of ​​approximately 1,745 sqm. The acquisition of Fyrvaktaren 19 corresponds to an agreed property value of SEK 89.5 million.

TM & Partners has assisted ReNewCell in the lease with the forest industry company SCA for ReNewCell’s lease at SCA’s industrial property in Ortviken (Sundsvall) for the establishment of textile recycling. Renewcell estimates that this establishment will create around one hundred new full-time jobs and that the plant, at full production, will recycle 60,000 tons of textiles a year (which corresponds to about half of Sweden’s annual consumption of textiles).

In Fastighetssverige’s annual list of leading real estate law firms in terms of business volume, our team is in third place with a business volume of SEK 69 billion, of which SEK 31 billion relate to real estate financing. This is an increase of underlying business volume with SEK 17 billion compared to the previous year which was a very strong transaction year.

TM & Partners has assisted Bokoop with the divestment of cooperative tenancies in Nykvarn to Trenum

TM & Partners has assisted Bokoop with the divestment of a real estate development project in Nykvarn, comprising of several housing units with a total of 145 cooperative tenancies. Bookoop is a housing cooperative aiming to create socially and environmentally sustainable housing for young adults. Trenum, jointly owned by Tredje AP-fonden and Balder, is the buyer and financer of the project. In connection with the divestment, Bokoop also entered into a long lease agreement (Swe. blockhyresavtal) for 25 years with Trenum concerning the cooperative tenancies.

Törngren Magnell has assisted Intea Fastigheter AB (publ) in the lease regarding a new police station to the Swedish Police Authority in Kristianstad. The lease agreement includes a lettable area corresponding to a total of 18,600 sqm, with a lease value of SEK 43,700,000. The work on a zoning plan is currently in process and construction regarding the police station is expected to take place in conjunction with a legally binding zoning plan.

Our real estate team on second place in terms of business volume

As an acknowledgement of our real estate team’s successful 2018, during which we assisted our clients in several large and strategically important transactions, we are in second place in terms of business volume in Fastighetssverige’s list of real estate law firms. Törngren Magnell has assisted the founders of Alivia in connection with the company’s first larger funding round. Alivia provides a new type of insurance in Sweden; cancer insurance. Törngren Magnell has advised Arwidsro in its purchase of Norrtälje Torn Kvarter 4 AB

Törngren Magnell has advised Arwidsro Samhällsfastigheter AB in its purchase of project Magasinet, located in Norrtälje. The project consists of 80 senior living apartments with Humana as the operator, a parking garage and three commercial premises on ground level. The project is expected to be completed in the spring 2021. The transformation of the area is Norrtälje’s largest urban development project ever. The seller is Index Residence.

Törngren Magnell assisted in real property transaction in Lindesberg

Törngren Magnell assisted the buyer REAL Value Projekt Stockholm 3 AB in its acquisition of all outstanding shares in Fastighetsbolaget Koppgatan 1 i Lindesberg AB from Per E Holding AB. The target company owns the retail property Lindesberg Ängen 7, on which an ICA Supermarket store is situated. Törngren Magnell has advised Lantz International AB and the other owners in connection with the sale of Hallgren och Fallgren Studieförlag Aktiebolag, a company conducting educational and publishing activities, to Studentlitteratur Aktiebolag, an education publishing company with sales and production of, inter alia, course literature and teaching material for elementary school, high school and university.

Törngren Magnell has advised on LRF’s investment in Tillväxtbolaget, a company which provides capital and knowledge, helps to establish modern production facilities for meat, milk and egg production as well as plant cultivation.

Tillväxtbolaget was earlier owned by Lantmännen and HKScan with 50 % each. Because of LRF’s investment in Tillväxtbolaget, the company is now owned by Lantmännen, HKScan and LRF with 33,3 % each.

Törngren Magnell has assisted Granen Fastighetsutveckling in the sale of a porftolio of properties

Törngren Magnell has assisted Granen Fastighetsutveckling in the sale of 72 grocery properties, located in 68 municipalities in southern Sweden and a with a lettable floor area of 78,987 square metres, to the newly established property company Tre Konor Investment AB.

The portfolio is well diversified with large tenants in central locations. The largest tenants are Systembolaget, ICA as well as the government and municipality.

Törngren Magnell has assisted Granen Fastighetsutveckling in its acquisition of Mellby Center in Laholm from Eurocommercial Properties.

Mellby Center has e.g. ICA Maxi and shops like Apotek Hjärtat, Kappahl, Lindex and Dressman, and is situated in a very good retail area with almost one million visitors per year and with substantial development opportunities.

Törngren Magnell assisted in the sale of Trimma to Visma

Törngren Magnell has advised the founders of Trimma AB, a company that develops and provides tools and services within business intelligence, analysis and budgeting, in connection with the sale of the company to Visma. Based in Umeå, Trimma in 2014/2015 had a turnover of SEK 43 million and an EBITDA of 12.7 million, with 40 employees.
