We have assisted Hines in their first acquisition in Sweden

We have assisted Hines European Property Partners in connection with the indirect acquisition from the kitchen manufacturer Nobia of an industrial property currently being constructed in Jönköping.

The deal is structured as a sale and leaseback-transaction, where Nobia, in connection with the divestment, enters into a lease agreement with an initial term of 20 years. The new factory, which will be used in Nobia’s production of kitchens, covers approximately 129,500 square meters and is expected to be completed in autumn 2024. The agreed property value amounts to SEK 1.35 billion.

Hines is an American real estate company founded in 1957, which is currently holding properties in approximately 30 different countries. The acquisition in Jönköping is Hines’ first acquisition in Sweden.

Nobia is a kitchen producer, primarily known for the brands Marbodal, HTH and Norema, and has previously carried out its operations in Tidaholm.

We have assisted Nordr in connection with the sale of a prime residential property

We have assisted Nordr in connection with the sale of a prime residential property project located in Gothenburg to Realy Bostad. The residential project includes 76 newly produced rental apartments to be completed by Nordr during the spring.

The project represents the last rental apartments to be completed in this area, in line with the comprehensive plan that has included the development of 1,100 new apartments and the renovation of existing stock, helping to enhance the attractiveness of the area.

Legal advisor to Team Olivia in connection with sale to Attendo

We advise Team Olivia in connection with the sale of Team Olivia’s Swedish care division, including the operations within Individual & Family and Home Care business, to Attendo. The division, which in the transaction is valued at SEK 950 million on a cash and debt free basis, includes appr. 120 care units with close to 3,000 employees, with annual sales of appr. SEK 1,350 million.

The transaction is subject to customary conditions and approvals and is expected to close in the beginning of 2024.

TM & Partners has advised Vendus Sweden AB (publ) in connection to four separate acquisitions of grocery retail properties to an aggregate value of MSEK 256. One of the acquisitions concerned a portfolio divested by Castellum comprising several properties located in Halmstad, Alingsås, Västerås and Uddevalla. The other three were off-market transactions negotiated through direct dialogue with the respective sellers.

TM & Partners has assisted Aquila Capital in the acquisition of a Swedish wind farm

TM & Partners has assisted Aquila Capital, a sustainable investment management and asset development company headquartered in Hamburg, Germany, in the purchase of an operational wind farm on behalf of a Swiss investment foundation.

The asset has a total capacity of 24 MW and is located in the southwest of Sweden. Seller was a vehicle managed by Prime Capital AG. The wind farm generates sufficient electricity to power the equivalent of 22,500 European households per year.

TM & Partners has assisted Arwidsro Fastighets AB in connection with a swap deal with Westerlinds in Härnösand. The swap deal includes that Westerlinds acquires the property Köpmannen 10 in the center of Härnösand from Arwidsro. Arwidsro in turn acquires the property Fyrvaktaren 19 in Härnösand from Westerlinds, on which Westerlinds recently signed a new lease with the tenant Kustbevakningen with an initial lease term of 15 years and with a total area of ​​approximately 1,745 sqm. The acquisition of Fyrvaktaren 19 corresponds to an agreed property value of SEK 89.5 million.

TM & Partners has advised Vendus Sweden AB in connection to four add-on acquisitions to an underlying property value of approx. MSEK 180. All of the acquired properties are retail properties, primarily oriented towards grocery retail.

Vendus Sweden AB was established by Venandi Fastigheter, MEL & ME Fastighet and Carnegie in March 2022. The company holds a property portfolio with an underlying property value of approx. MSEK 2,300.

TM & Partners has advised Östanå Real Estate in connection to their forward commitment divestment of a development project located in Strängnäs and several other project properties located in Strängnäs and Norrtälje, as well as the acquisition of four project properties located in Strängnäs. The intended development of the properties regards, inter alia, the construction of buildings for the purpose of rental housing, special accommodations and single-family housing.

Since 2016, Östanå Real Estate has been an active property developer with a primary focus on quality housing in the Mälardaren area.

TM & Partners has assisted Venandi Fastigheter in the development and divestment of a property portfolio consisting of 37 properties with an underlying property value of MSEK 2,000. The portfolio has a main orientation towards grocery retail, to some extent complemented with low-cost retail and housing. TM & Partners has been Venandi Fastigheter’s legal advisor in connection to more than 20 acquisitions, concerning both single properties and larger portfolios, and has further assisted Venandi Fastigheter in connection to the divestment of the portfolio to Vendus, a company established by Carnegie, Venandi Fastigheter and MEL & ME Fastighet. TM & Partners has advised Cavandium in connection with Arlandastad Group’s divestment of 125 000 sq.m. land to an underlying property value of MSEK 522. Cavandium and Arlandastad Group have established a joint venture for the development of a business park under the name F60. In connection to this, TM & Partners has advised Cavandium in Swiss Life Asset Managers’ investment in the Cavandium subsidiary acquiring 50 per cent of the shares in the joint venture company. The parties have agreed on an option for the joint venture company to acquire an additional 40,000 sq.m. of land in connection to the F60 area.

TM & Partners has assisted Cleantech startup Cinis Fertilizer

TM & Partners has assisted Cinis Fertilizer. In connection with the negotiation of long term agreements with Northvolt and the international fertilizer producer Van Iperen International, as well as with a pre-IPO fundraising.

Cinis Fertilizer is a Swedish Cleantech startup that has developed a patented technology for the production of the world’s most environmentally friendly mineral fertilizer. By recycling industrial waste products from the pulp and paper industry as well as the battery manufacturing industry. Requiring 50 percent less energy input through its production, Cinis Fertilizer will create a CO2 footprint 75 percent smaller than that of traditional fertilizers.

Circular product

For production and sale of its circular product, Cinis Fertilizer has recently entered into long term strategic agreements with battery cell supplier Northvolt for purchase of sodium sulphate salt to be recovered from the battery manufacturing processes, and with international fertilizer producer Van Iperen International which in an off-take agreement has committed to purchase Cinis Fertilizer’s entire yearly production of appr. 300,000 tonnes fertilizer during a ten year period.

For the financing of the commercialization of its products, the company has in October 2021 raised SEK 40 million in a pre-IPO financing round and intends to initiate preparations for an IPO on Nasdaq First North in 2022. In connection with the fundraising a new board of directors has been appointed where TM & Partners M&A partner Sten Hedbäck has been appointed board member, together with Anna Kinberg Batra (previous MP and leader of the Swedish conservative party Moderaterna), Viktoria Bergman (board member Vattenfall), Åsa Källenius (CFO Mekonomen) and Morgan Sadarangani (CEO Molindo Energy). Roger Johansson, EVP for the Roxtec business unit Marine & Offshore, continues as Chairman. The company’s founder and innovator Jakob Liedberg is CEO.

TM & Partners has assisted Arwidsro Fastighets AB in the purchase of parts of Orminge Entré, and indirectly properties/land area in Orminge (Nacka municipality), from Gotska Fastighets AB. In accordance with the acquisition, Arwidsro will, together with Gotska Fastighets AB, within the area develop the new landmark, Orminge Entré, in the centrum of Orminge. The development project includes construction of residential apartments, grocery stores and parking spaces.

TM & Partners has assisted Bokoop with the divestment of cooperative tenancies in Nykvarn to Trenum

TM & Partners has assisted Bokoop with the divestment of a real estate development project in Nykvarn, comprising of several housing units with a total of 145 cooperative tenancies. Bookoop is a housing cooperative aiming to create socially and environmentally sustainable housing for young adults. Trenum, jointly owned by Tredje AP-fonden and Balder, is the buyer and financer of the project. In connection with the divestment, Bokoop also entered into a long lease agreement (Swe. blockhyresavtal) for 25 years with Trenum concerning the cooperative tenancies.

Törngren Magnell has assisted Apoteket AB in connection with an investment in the digital healthcare provider Doktor24. Through its investment, Apoteket AB becomes a minority owner in Doktor24, which after the transaction will remain 80 per cent owned by Patricia Industries, part of Investor.

Apoteket and Doktor24 intend to develop new digital and physical healthcare services in close cooperation. The companies will establish a healthcare network in order to offer easily accessible healthcare and pharmaceutical services and advice. The ambition is to also link the local pharmacies with new technology and digital solutions. All parts of the healthcare network will be digitally connected through Doktor24’s technical platform, Platform24, creating an integrated offering of care. New digital services will be developed and added to the joint services offering.

Apoteket is Sweden’s leading pharmacy chain and one of the country’s strongest brands.

Doktor24 Healthcare AB is a digital healthcare service provider which, through integrating digital and physical healthcare services, creates sustainable healthcare with the patient at the centre.
