TM & Partners has advised Lantmännen ek för in connection with the acquisition of Leipurin from Aspo Plc. Leipurin is a leading Nordic supplier of ingredients to bakeries and the wider food industry with operations in Sweden, Finland, Estonia, Latvia and Lithuania. Through the acquisition, Lantmännen strengthens its position in the food ingredients sector. The transaction, which is subject to approval by the relevant authorities, is expected to be completed in the first quarter of 2026.

TM & Partners have assisted Scan Sverige AB, part of Lantmännen since spring of 2024, in connection with the acquisition of all shares in Lindvalls Chark AB. Beijing8 produces and sells dumplings and related products, including sauces, beverages and cooking utilities. The products are sold in the FMCG (Fast Moving Consumer Goods) sector and own restaurants in the Nordic region. In 2020, the company produced and sold over 6 million dumplings, making it one of the largest brands of dumplings in Europe. TM & Partners has assisted Frill Holding AB (publ) in the acquisition of all shares in Kling Homie AB and Nathalie’s Direct Trade AB, as well as a directed convertible issue of a maximum SEK 85 million.

Kling Homie is a fast-growing Swedish lifestyle brand that works to optimize diet and health. The company’s product range, which includes nutritional supplements, functional and energy drinks, dietary supplements and other health products, is sold at over 700 retailers, including some of Sweden’s major e-commerce platforms and food chains.

Nathalie’s Direct Trade markets and sells healthy snacks that the company buys directly from farmers in Colombia. Nathalie’s Direct Trade is a member of the UN program UNDP – Business Call To Action. In 2020, the company grew by 72 percent.

To finance the acquisitions and a continued strong expansion, Frill has decided to raise a convertible loan in a maximum amount of SEK 85 million through a directed issue of convertibles to a number of qualified investors.

TM & Partners has advised RNB Retail and Brands AB (publ) in connection with the sale of its wholly-owned subsidiary Polarn O. Pyret AB to Procuritas Capital Investors Fund VI. The preliminary purchase price amounts to SEK 330 million on a cash and debt-free basis. Polarn O. Pyret is a true Swedish icon and an internationally recognised quality brand within the field of children’s clothing since 1976. Procuritas invests in and develops medium-sized Nordic companies and has for more than thirty years invested in over 45 different companies.

TM & Partners has assisted Departments & Stores Europe AB (DSE) in connection with the transfer of its business in the department stores of Nordiska Kompaniet in Stockholm and Gothenburg to NK Retail AB. The buyer is a subsidiary to AB Nordiska Kompaniet which is a subsidiary to Hufvudstaden. Through the sale approximately 40 departments will be transferred in NK Stockholm and Gothenburg. DSE generated revenues of SEK 773 million in the financial year of 2019/2020. All employees, about 400, will be offered employment at NK Retail AB.
