Philip’s areas of specialization include private M&A, capital markets law, venture capital, real estate transactions, and corporate law.

Philip previously founded and managed Rämsell Advokatbyrå, where he worked with corporate acquisitions, real estate transfers, capital raising, IPO processes, and other equity capital market transactions. Prior to that, Philip worked as a Senior Associate at a leading law firm in Sweden.

He has extensive experience providing ongoing legal advice to both listed and private companies and is frequently appointed as chairman of shareholders’ meetings.

TM & Partners has advised Humble Group in connection with acquisitions and divestments

TM & Partners has advised Humble Group in connection with the acquisitions of all shares in XPO Limited (“Jutexpo“) in the United Kingdom and in M. Willumsen AS (“Willumsen“) in Norway. TM & Partners has further advised Humble Group in connection with the divestments of all shares in Performance.R.us AB and Limitless Brands AB.

Jutexpo is a British company active in the distribution of reusable bags in the retail sector. The acquisition is a bolt-on acquisition to Humble Group’s subsidiary Solent Group Limited, with which there is a strong strategic overlap and clear synergy effects. TM & Partners acted as Swedish legal counsel and Shoosmiths acted as local legal counsel to Humble Group in connection with the transaction.

Willumsen is a Norwegian distributor of tea and cosmetics products. The company is planned to be integrated with Humble Group’s subsidiary Vitalkost AS, where there are material synergy effects from operational cost savings as well as increased channel exposure of the companies’ product portfolios. TM & Partners acted as Swedish legal counsel and Selmer acted as local legal counsel to Humble Group in connection with the transaction.
